1. Introduction

Welcome to QAAS (Quality as a Service). These Terms and Conditions ("Terms") govern your use of our website and services. By accessing or using our services, you agree to be bound by these Terms.

QAAS provides comprehensive quality assurance and testing services for software applications, including but not limited to manual testing, automated testing, performance testing, and security testing.

2. Services

QAAS offers the following services:

  • Manual and Automated Testing Services
  • Performance Testing and Optimization
  • Security Testing and Vulnerability Assessment
  • Mobile Application Testing
  • API Testing and Integration Testing
  • Consulting and QA Process Implementation

Service specifications, deliverables, and timelines will be outlined in individual service agreements or statements of work.

3. Service Agreements and Timelines

3.1 Project Initiation: Projects commence upon receipt of signed agreement and any required initial payment.

3.2 Timeline Commitments:

  • Initial assessment: Within 2-3 business days of project initiation
  • Test plan delivery: Within 5 business days of requirement finalization
  • Regular progress reports: Weekly or as specified in the agreement
  • Final deliverables: As per agreed project timeline

3.3 Client Responsibilities: Timely provision of access, documentation, and feedback is essential for maintaining project timelines.

4. Payment Terms

4.1 Pricing: Service fees are outlined in individual service agreements.

4.2 Payment Schedule:

  • Fixed projects: 50% upfront, 50% upon completion
  • Retainer services: Monthly in advance
  • Hourly services: Monthly invoicing, net 30 days

4.3 Late Payment: Payments overdue by more than 30 days may result in service suspension and late fees of 1.5% per month.

5. Intellectual Property

5.1 Client Property: All client materials, code, and documentation remain the property of the client.

5.2 QAAS Property: Testing frameworks, tools, and methodologies developed by QAAS remain our intellectual property unless otherwise agreed.

5.3 Deliverables: All test reports, documentation, and deliverables created specifically for the client become client property upon full payment.

6. Confidentiality

Both parties agree to maintain strict confidentiality regarding:

  • Proprietary information and trade secrets
  • Business strategies and operations
  • Technical specifications and source code
  • Customer data and personal information

This confidentiality obligation survives termination of services for a period of 5 years.

7. Warranties and Disclaimers

7.1 Service Warranty: QAAS warrants that services will be performed in a professional and workmanlike manner.

7.2 No Guarantee: While we strive for comprehensive testing, QAAS cannot guarantee detection of all bugs or issues.

7.3 Limitation of Liability: QAAS's total liability shall not exceed the fees paid for the specific service giving rise to the claim.

8. Termination

8.1 Termination by Either Party:

  • For ongoing services: 30 days written notice
  • For cause: Immediately upon material breach

8.2 Effect of Termination: Upon termination, all work completed to date will be delivered, and final invoicing will be processed for work performed.

9. Dispute Resolution

9.1 Good Faith Resolution: Parties agree to attempt resolution through good faith negotiations.

9.2 Mediation: If negotiations fail, disputes will be submitted to mediation before pursuing other remedies.

9.3 Governing Law: These Terms are governed by the laws of the jurisdiction where QAAS is incorporated.

10. General Provisions

10.1 Entire Agreement: These Terms, along with specific service agreements, constitute the entire agreement between parties.

10.2 Amendments: Terms may be updated periodically. Continued use of services constitutes acceptance of updated Terms.

10.3 Severability: If any provision is found invalid, other provisions remain in full force.

10.4 Force Majeure: Neither party is liable for delays due to circumstances beyond reasonable control.
